These Terms & Conditions ("Terms") govern your access to and use of the Viralspace platform, websites and services (collectively, the "Platform"), operated by Viralspace ("we", "us", "our"). By creating an account, accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

"Brand" (or Advertiser) means a user who creates and funds advertising campaigns. "Affiliate" (or Publisher) means a user who promotes campaigns using unique tracking links to generate traffic. "Campaign" means an advertising offer created by a Brand. "CPM" means cost per one thousand valid impressions. "Valid Impression" means a unique, non-fraudulent visit recorded by our tracking system. "Wallet" means the in-platform balance used for deposits, earnings and withdrawals.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a legally binding contract to use the Platform. You agree to provide accurate registration information, verify your email where required, and keep your credentials confidential. You are responsible for all activity under your account. We may refuse, suspend or terminate accounts at our discretion, including for breach of these Terms.

3. Brand Responsibilities

Brands are solely responsible for the campaigns, landing pages, creative assets and offers they publish, and for ensuring they are lawful, accurate and non-infringing. Campaigns may be reviewed before going live and may be rejected or paused if they violate these Terms or applicable law. Brands must maintain sufficient Wallet funds to cover campaign spend; campaigns stop delivering once their budget is exhausted.

Prohibited campaign content includes, without limitation: illegal goods or services, malware or deceptive downloads, adult content involving minors, hate speech, fraud or scams, and any content that infringes third-party rights.

4. Affiliate Responsibilities

Affiliates receive a unique tracking link for each campaign and may promote it only through lawful, permitted channels. Affiliates must not generate artificial, incentivised, misleading or fraudulent traffic. You agree not to:

5. CPM Earnings

Affiliate earnings are calculated solely on valid impressions, using the formula: earnings = (valid impressions ÷ 1,000) × campaign CPM rate. Only traffic that passes our fraud, bot, proxy and duplicate filters is counted. The corresponding amount is deducted from the Brand's campaign budget. We do not guarantee any minimum level of traffic, impressions or earnings.

6. Wallets, Deposits & Withdrawals

All balances are denominated in Nigerian Naira (₦). Brands may deposit funds via supported payment providers to fund campaigns. Affiliates accrue earnings to their Wallet and may request withdrawals subject to any minimum threshold and verification. Withdrawal requests are reviewed and may be approved, rejected or marked paid; rejected requests are returned to your available balance. We may withhold or reverse amounts associated with invalid traffic, chargebacks or suspected fraud.

7. Fraud & Invalid Traffic

We operate automated and manual systems to detect invalid traffic, including bot detection, IP and proxy filtering, duplicate-visit filtering and traffic-quality scoring. Impressions identified as invalid are excluded from earnings and spend. We may suspend accounts, withhold earnings and reverse balances where fraud or abuse is suspected.

8. Payments & Third-Party Providers

Payments may be processed by third-party providers (for example, Paystack). Your use of those services is subject to their terms and privacy policies. We are not responsible for the acts or omissions of third-party payment providers.

9. Intellectual Property

The Platform, including its software, design and content (excluding user-supplied campaign material), is owned by Viralspace and protected by applicable laws. You may not copy, modify, reverse engineer or create derivative works except as permitted by law.

10. Suspension & Termination

We may suspend or terminate your access at any time for breach of these Terms, suspected fraud, legal requirements or risk to the Platform. On termination, outstanding valid balances may be paid out subject to verification and these Terms; balances tied to invalid activity may be forfeited.

11. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free or secure.

12. Limitation of Liability

To the maximum extent permitted by law, Viralspace will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our aggregate liability for any claim relating to the Platform will not exceed the amounts you paid to us, or earned and remained unpaid, in the three months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Viralspace and its officers, employees and agents from any claims, damages and expenses arising from your use of the Platform, your content or traffic, or your breach of these Terms or applicable law.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Disputes will be subject to the exclusive jurisdiction of the courts of Nigeria.
